1. Acceptance of terms
Use of the WiseData Chat platform (the "Platform") is conditioned on full acceptance of these Terms of Use and of the Privacy Policy, which is an inseparable part of this document.
If you use the Platform on behalf of a legal entity, you declare that you have the authority to bind it to these Terms. If you disagree with any provision, do not use the Platform.
The Licensor may change these Terms at any time, as described in clause 21.
2. Definitions
Licensor: WiseData Business LTDA, CNPJ 53.182.850/0001-14.
Licensee or Customer: the individual or legal entity that subscribes to the Platform.
User: a person authorized by the Licensee to access the Platform, occupying one of the user slots of the contracted plan.
Account: the logical environment grouping the Licensee's data, team and settings in isolation from other accounts.
Account owner: the User linked as the holder of the Account, with exclusive authority over the irreversible actions described in these Terms.
Connected number: a WhatsApp number of the Licensee connected to the Platform through Meta's WhatsApp Business Platform. Each number occupies one inbox.
Contact: a person the Licensee talks to over WhatsApp through the Platform.
AI Agent: an assistant configured by the Licensee in the Platform, which talks to Contacts on the Licensee's behalf based on the instructions and material the Licensee provides.
Licensee Content: all data entered into the Platform by the Licensee or by its Users, including conversations with Contacts, Contacts' data and the material provided for the AI Agent.
3. Nature of the service
The Platform is software as a service (SaaS) delivered over the internet and accessed through a browser, for customer service and sales over WhatsApp: a team inbox, AI Agent, sales pipeline, message broadcasts and scheduling. Its features are those described on the website and in the official documentation in force at the time of subscription.
Sending and receiving messages depend on the WhatsApp Business Platform, operated by Meta Platforms. The Licensee connects its own number and its own WhatsApp Business account through Meta's official sign-up and is the sender of the messages before Meta and before Contacts. The Licensor acts as a technology provider and is not the operator of WhatsApp.
The WhatsApp Business number and account belong to the Licensee. Message templates are submitted for Meta's approval, which accepts or rejects them according to its own criteria. The number's quality, sending limits and any restrictions or blocks are set by Meta. The Licensor does not control those decisions, does not guarantee approval or timing, and has no means of reversing them.
Messages charged by Meta, such as templates, are billed by Meta directly to the Licensee's WhatsApp Business account, with no markup from the Licensor, and are not part of the subscription amounts.
Changes to Meta's rules, prices or policies may affect how the Platform works. In that case the Licensor will notify the Licensee and adapt the service as far as possible.
The Licensor may evolve, change or discontinue specific features, giving the Licensee prior notice whenever the change is material to the contracted use.
The Platform does not replace any legal, accounting, tax or labor obligation of the Licensee, and must not be used as the sole record of information whose retention is required by law.
4. Single account, truthful registration and credentials
The Platform is a corporate tool, intended for real people and organizations that actually use it in their operation. The account is for the exclusive, personal and non-transferable use of a single Licensee, and is meant to organize the operation of a single organization, even if it serves many clients and keeps several projects internally.
The rule is one account per organization and one access per person. Additional accounts for the same organization — separate environments, branches, companies in the same group — are legitimate and must be requested from support, which enables them with the corresponding subscription.
It is forbidden to keep parallel or successive accounts in order to work around plan limits, escape billing or a block, or multiply resources offered without a cap. It is equally forbidden to use one account to run two or more independent organizations, even if separated by projects or internal permissions, and to split, share, assign, resell, rent or sublicense access between distinct organizations — each must keep its own subscription.
Creating an account requires true, complete and up-to-date information. The account is created from a registration code provided by the Licensor after the sales contact, and the Licensee declares under its own responsibility that the data provided corresponds to its real identity or to that of the legal entity it represents.
The Licensor may refuse, suspend or close accounts showing signs of fraudulent registration — a manifestly false name or a random string of characters, a disposable or temporary e-mail, an invalid or auto-generated phone number, non-existent company data or data used in bad faith, use of a third party's identity without authorization, and behavior indicating an attempt to work around limits. It may also condition the release or reactivation of access on documentary proof of identity or of the link to the stated organization.
The Licensee is responsible for keeping the data accurate, especially the account owner's e-mail, which is the channel used for access recovery and for the notices set out in these Terms.
Credentials are personal and non-transferable. The Licensee is responsible for every action taken with its Users' credentials, including by a third party who obtains them through carelessness, sharing or a compromised device.
Irreversible actions — account deletion in particular — are restricted to the account owner. The Licensee must keep that link current when the person holding it leaves the organization; the Licensor does not transfer ownership without documentary verification that the request is legitimate.
Suspected unauthorized access must be reported immediately through the support channels, so sessions and tokens can be revoked.
5. License of use
Subject to payment of the amounts due, the Licensor grants the Licensee a non-exclusive, non-transferable, revocable license, limited to the subscription term, to access and use the Platform according to the contracted plan.
The license does not imply the assignment of any intellectual property right over the Platform, its code, its brand, its interface or its documentation.
The license is granted within the limits of Users and Connected numbers of the contracted plan. Each User must have individual, non-transferable credentials; sharing credentials between people is forbidden.
6. Usage restrictions
The Licensee and its Users are forbidden to: reverse engineer, decompile or attempt to obtain the Platform's source code; sublicense, resell, rent or make the Platform available to unauthorized third parties; use the Platform for unlawful purposes or in violation of third-party rights; run intrusion tests, scans or unauthorized access attempts without prior written authorization; and deliberately overload the infrastructure through automated requests in abnormal volume.
It is equally forbidden to use the Platform in a way that violates the privacy, data protection or labor legislation applicable to the Licensee.
The Licensee undertakes to use the Platform in compliance with the Meta and WhatsApp policies applicable to its number — including the WhatsApp Business Messaging Policy and the commerce policy — and it is forbidden to use it for spam, unsolicited messages, unlawful, misleading or discriminatory content, or for the product and service categories that Meta prohibits.
The Licensee is the controller of its Contacts' data and is solely responsible for obtaining and proving the authorization (opt-in) required by Meta and by law to start conversations and send broadcasts, for honoring opt-out requests immediately and for not messaging again anyone who has opted out. The Platform records the Contact's opt-out request and stops including them in automated sends, but it does not collect the authorization on the Licensee's behalf.
Automated extraction of data, content or screens from the Platform is forbidden — including scraping, bots, crawling, indexing, systematic screen capture and any other means of bulk collection — as is using the Platform through anything other than the official interface and API.
Access is granted for the Licensee's own use in its operation. It is forbidden to obtain access in order to study, measure or reproduce the Platform for the development of a competing product or service, as set out in clause 20, and it is forbidden to create an account with a false identity, company or purpose.
Breach of these restrictions authorizes immediate suspension of access under clause 11, without prejudice to any applicable remedies.
7. Plans, payments and default
The Platform is offered in plans with public pricing, in Brazilian Reais (BRL). Each plan has a limit of Users and Connected numbers, and the current amounts and limits are published on the Licensor's website.
Subscription is arranged with the Licensor's sales team, which creates the account. Assisted onboarding is included in every plan. The Platform does not offer a free trial period.
The artificial intelligence features described in clause 13 are included in the plan and are not charged separately.
Messages charged by Meta are billed by Meta directly to the Licensee, as set out in clause 3, and are not part of the amounts charged by the Licensor.
Payment processing is carried out by third-party payment processors. The Licensor does not store full credit card data in its systems.
Late payment may lead to suspension of access after prior notice, without prejudice to statutory charges. Suspension for non-payment does not imply immediate deletion of Licensee Content.
8. Annual price adjustment
Subscription amounts are adjusted annually, on the anniversary of the subscription, by the accumulated variation of the Brazilian Extended National Consumer Price Index (IPCA), measured by IBGE over the preceding 12 (twelve) months. If the index is discontinued or unavailable, the index that legally replaces it applies.
The adjustment period is never shorter than one year, as required by article 2, § 1, of Brazilian Law 10,192/2001.
The adjustment is communicated to the Licensee at least 30 (thirty) days in advance. If the Licensee disagrees, it may cancel the subscription before the new amount takes effect, with no penalty, under clause 10.
Index-based adjustment is not the same as a change to the Platform's price list, dealt with in clause 21, which only reaches the Licensee in the following cycle and upon prior notice.
9. Right of withdrawal
An individual who subscribes to the Platform as its final recipient may withdraw within 7 (seven) calendar days of the subscription date, with a full refund of amounts paid, under article 49 of the Brazilian Consumer Protection Code. Simply send the request through the support channels.
This right does not extend to a legal entity that subscribes to the Platform as an input to its own economic activity. In that case it is not the final recipient of the service and, under the finalist theory adopted by the case law of the Brazilian Superior Court of Justice, does not qualify as a consumer — so cancellation follows the rules of clause 10.
Regardless of withdrawal, cancellation is available at any time, under clause 10.
10. Cancellation, termination and plan changes
The Licensee may cancel the subscription at any time, through the support channels, with no penalty and no lock-in. Cancellation takes effect at the end of the cycle already paid for, with no pro-rata refund of the current period, except under clause 9 and unless required otherwise by law.
Moving to a smaller plan does not delete data: information that stops being displayed because of the plan remains stored and becomes accessible again if the Licensee returns to a plan that covers it.
Once the relationship ends, the Licensee may export Licensee Content in the formats offered by the Platform within the period stated in the Privacy Policy, after which the data may be permanently erased.
Deleting the account is a different act from cancelling: it is carried out at the request of the account owner, is irreversible and is described on the account deletion page.
11. Suspension and termination by the Licensor
Suspension temporarily blocks access and preserves Licensee Content. It may occur for non-payment not remedied after notice, for breach of the restrictions in clause 6, for non-compliance with Meta's policies, by order of a competent authority, or due to concrete risk to the security of the Platform and of other customers.
Except where there is imminent risk, an ongoing unlawful act or a legal determination to the contrary, suspension is preceded by notice and an opportunity to cure.
Termination ends the contractual relationship and leads to erasure of Licensee Content within the periods set in the Privacy Policy. It only occurs after unremedied suspension, in case of serious and incurable breach, or by legal determination.
The following constitute serious breach, authorizing immediate suspension and termination with no prior notice: sending messages to people who have not given the required authorization or who have opted out (clause 6), fraudulent registration and keeping parallel accounts (clause 4), sharing the account between distinct organizations (clause 4), automated data extraction (clause 6) and breach of confidentiality or copying of the Platform (clause 20).
Where a serious breach is found, the Licensor may also refuse the creation and reactivation of accounts linked to the infringer's data — the same tax ID, e-mail, phone, payment method, IP address or device. These measures follow from breach of these Terms and give rise to no right to refund, compensation or prior notice, even where the account is on an active, annual or promotional plan.
During suspension the Licensee keeps the right to export its Content, upon request through the support channels, except where the suspension arises from fraud or from an order of an authority preventing access.
Beyond the situations above, all of which depend on a breach, the Licensor may give notice that it will not renew the subscription, with no need to state a reason. The right is reciprocal: the Licensee has the same right, on the same terms and with no penalty, as set out in clause 10.
Non-renewal does not interrupt the contracted service. Access remains in full until the last day of the cycle already paid for, and for that reason no amounts are refunded — the service is delivered in full. There will always be at least 30 days between the notice and the end of access; if less time remains in the current cycle, access is extended to complete that period.
Once the cycle ends, the account remains in read-only mode for 90 days, so that Licensee Content can be consulted and exported in the formats made available by the Platform. After that period, the data follows the retention periods set in the Privacy Policy, including those required by law.
The Licensor will not decline to renew or terminate accounts on any discriminatory ground, nor in retaliation for the Licensee's regular exercise of a right, including formal complaints and requests concerning personal data.
12. Licensee Content and data protection
Licensee Content belongs to the Licensee. The Licensor claims no ownership over the data, documents or reports entered into or generated within the Platform.
Regarding personal data processed on behalf of the Licensee — such as data of its Users and of its end customers — the Licensor acts as processor and the Licensee as controller, under Brazilian Law 13,709/2018 (LGPD). Details are in the Privacy Policy.
The Licensee is responsible for the lawfulness of the data it enters, for informing its Users and its Contacts about the use of the Platform — including about service provided by an AI Agent, when it uses one — and for holding an adequate legal basis for the processing it carries out.
13. Artificial intelligence
The Platform offers artificial intelligence features: the AI Agent, which talks to Contacts on the Licensee's behalf; the copilot, which suggests, improves and summarizes text for the User without sending anything to the Contact; conversation translation; transcription of audio and description of images received; and conversation summaries and analyses. Support for Users also relies on an artificial intelligence assistant.
The AI Agent answers based on the instructions, rules and material the Licensee provides. The Licensee is responsible for that content, for configuring and testing the Agent before activating it, for monitoring the conversations it conducts and for what it says on the Licensee's behalf. The Platform applies its own safety rules, such as checking replies before they are sent and transferring to a person, but those rules reduce the risk of error rather than eliminate it.
Responses generated by artificial intelligence may contain inaccuracies and do not replace human analysis or professional advice. The Licensee is responsible for checking the information before acting on it, and the Licensor is not liable for decisions made solely on the basis of a generated response.
Content submitted to these features is processed by language model providers contracted by the Licensor and identified in the Privacy Policy, solely to generate the requested response. Those providers do not use Licensee Content to train their models, and the Licensor does not use it for that purpose either.
It is forbidden to use the artificial intelligence features to generate unlawful, discriminatory or misleading content, or content that violates third-party rights, as well as to attempt to extract the internal workings, the instructions or the data of other customers.
Artificial intelligence features may be changed, limited or discontinued under clause 3, including as a result of changes in the provider's conditions.
14. API and integrations
The Platform integrates with Meta and, at the Licensee's option, with Google Calendar. Each integration is authorized by the Licensee itself, through the provider's official flow, and can be undone at any time in the Platform's Settings or in the provider's own controls.
Meta: the authorization granted in Meta's official sign-up allows the Platform to send and receive the messages of the Connected number, manage templates and the business profile, read the data of the ad that originated each conversation — campaign, ad set, ad, account and spend — and send Meta the conversion events the Licensee configures in the sales pipeline. Use of these features is also subject to the Meta terms and policies accepted by the Licensee.
Google Calendar: the authorization granted through Google sign-in allows the Platform to check the availability of the chosen calendar, create, change and cancel the events for meetings booked by the Platform, and display that calendar's events to the person who connected it. Data received from Google is handled as described in the Privacy Policy, including Google's Limited Use requirements.
The access credentials granted through these integrations are stored encrypted and used only for the features described. When an integration is disconnected, the Platform stops accessing it; in the case of Google, the credential is also revoked with Google.
The Platform does not offer a public programming interface (API) to the Licensee. Integrations with other third-party systems are the Licensee's responsibility, including as to the legal basis for personal data flowing between systems. The Licensor is not liable for the availability, the operation or the data processing carried out by a third-party system.
15. Backup and integrity
The Licensor maintains database backup routines. Even so, the Licensee is advised to periodically export its Content using the features available in the Platform, such as exporting contacts and conversations.
Message delivery and read statuses and broadcast reports reflect the events Meta returns to the Platform and depend on Meta and on the settings of the Contact's device.
The Licensor employs mechanisms to preserve record integrity, but the Licensee acknowledges that factors outside the Licensor's control — such as device failure, loss, or clearing the browser's site data — may compromise information not yet transmitted to the servers.
16. Availability, support and service level
The Licensor uses commercially reasonable efforts to keep the Platform available, targeting 98% (ninety-eight percent) monthly availability, measured over the total minutes in the month.
The following are excluded from that calculation: scheduled maintenance windows, announced whenever possible; unavailability caused by force majeure; failure or unavailability of Meta's infrastructure and of the other third parties the Platform depends on, such as infrastructure, artificial intelligence, connectivity and payment providers; unavailability arising from the Licensee's own act or omission, its network or an integration it maintains; and legitimate suspension under clause 11.
Support is provided through the channels and during the hours stated in the Platform, including assistance supported by artificial intelligence under clause 13.
The target above is a best-efforts commitment, not a warranty backed by penalties. Unless specifically contracted in a separate instrument, there is no service level agreement (SLA) with credits, discounts or penalties for downtime.
17. Limitation of liability
The Platform is provided as is. The Licensor does not warrant that it will meet any specific purpose not described in the documentation, nor that it will operate uninterrupted or error-free.
Indicators and reports calculated by the Platform are informational and depend entirely on the quality of the data entered by the Licensee and of the data returned by Meta. They do not constitute financial, accounting, tax or legal advice, and the Licensee is solely responsible for decisions made based on them.
The Licensor is not liable for blocks, restrictions, quality drops or penalties applied by Meta to the Licensee's WhatsApp Business number or account, nor for unavailability arising from Meta's infrastructure.
To the maximum extent permitted by applicable law, the Licensor's total liability for any losses related to the Platform is limited to the amount actually paid by the Licensee in the 12 (twelve) months preceding the event giving rise to the claim. Where the Licensee is a legal entity, this limitation is expressly allowed by the final part of article 51, item I, of the Brazilian Consumer Protection Code.
The Licensor is not liable for lost profits, lost revenue, lost business opportunity, data loss arising from the Licensee's own act, or indirect damages of any nature.
Nothing in this clause excludes the Licensor's liability for willful misconduct, fraud, or in cases where limitation is prohibited by law.
18. Indemnification
The Licensee undertakes to indemnify and hold the Licensor harmless from losses, expenses and legal fees arising from a third-party claim related to Licensee Content, to what the AI Agent says on its behalf based on the instructions and material it provided, to sending messages without the authorization required in clause 6, to use of the Platform in breach of these Terms or of Meta's policies, to the violation of a third-party right, or to non-compliance with data protection legislation as to the processing for which the Licensee is controller.
The Licensor will notify the Licensee of the claim within a reasonable time and allow it to take part in the defense, and will not enter into a settlement imposing an obligation on the Licensee without its prior consent.
19. Intellectual property and suggestions
All rights in the Platform, including source code, architecture, database, interface, texts, trademarks, logos and documentation, belong exclusively to the Licensor or its licensors.
Suggestions, ideas, feature requests, criticism, comments and reports submitted by the Licensee or its Users through any official channel of the Licensor — support, help center, e-mail, forms, surveys, social media or conversations with the team — may be freely and without limitation used, implemented, modified and commercially exploited by the Licensor, in any product of the WiseData group.
The Licensee assigns to the Licensor, free of charge, definitively, irrevocably, non-exclusively and without limitation of time or territory, any economic rights that may exist over such material, without giving rise to any consideration in the form of royalties, revenue share, discount, free access, subscription or remuneration of any nature.
A feature developed from a suggestion belongs exclusively to the Licensor, even if the idea came from the Licensee, and may be offered to all customers. Article 8 of Brazilian Law 9,610/1998 expressly excludes ideas, methods, systems and plans from copyright protection.
This clause does not authorize the Licensor to disclose the Licensee's confidential data or to publicly identify it as the author of a suggestion without its authorization.
The Licensee authorizes the Licensor, free of charge, non-exclusively, worldwide and for an indefinite term, to use its business name, brand, logo and trade name, as well as testimonials and reviews it voluntarily gives about the Platform, for institutional and commercial promotion — customer showcase on the website, success stories, social media, presentations and marketing material. The authorization is free of charge and gives rise to no right to royalties, remuneration, revenue share or compensation of any nature.
Such use is limited to identifying the real relationship between the parties and follows the brand guidelines provided by the Licensee. The authorization may be revoked at any time by request to support, with removal of the pieces still under the Licensor's control within a reasonable time; material already printed or distributed beyond its control is not reached by the revocation.
20. Confidentiality and prohibition of copying
The Licensor's confidential information comprises every part of the Platform not publicly disclosed on its website: internal screens, workflows, data structure, calculation rules and formulas, reports, technical documentation, API documentation, training material, product roadmaps and individually negotiated commercial conditions.
The Licensee and its Users gain access to that information by reason of this contractual relationship and undertake to keep it confidential, neither disclosing nor exploiting it outside the contracted purpose. The obligation survives termination of the contract, for an indefinite term, for as long as the information does not become public through a legitimate act of the Licensor.
It is forbidden to reproduce, in whole or in part, the code, texts, documentation, databases and other protected elements of the Platform, or to create derivative works from them.
It is forbidden to use access to the Platform — the Licensee's own, a third party's, a free trial account's or one obtained through an intermediary — to survey, document or replicate how it works for the purpose of developing, commissioning the development of, or operating a competing product or service. Anyone operating in the Licensor's market who intends to evaluate the Platform for comparison purposes must request prior written authorization.
This clause is not intended to prevent similarity arising from the functional characteristics of the application, from normative or technical requirements, or from the limitation of alternative forms of expression — situations that article 6, item III, of Brazilian Law 9,609/1998 expressly does not treat as infringement. What it forbids is copying and exploiting confidential information obtained through access.
Breach of this clause authorizes immediate suspension and closure of the account, with no prior notice, and subjects the infringer to full compensation for losses and damages.
The Licensee acknowledges that such conduct may further constitute infringement of copyright in a computer program under article 12 of Brazilian Law 9,609/1998, and the crime of unfair competition under article 195, items III, XI and XII, of Brazilian Law 9,279/1996 — a provision that expressly reaches whoever uses, without authorization, confidential information accessed through a contractual relationship, even after it ends, and whose § 1 extends liability to the employer, partner or director of the benefiting company.
21. Changes to the terms, plans and features
These Terms may be updated from time to time. The version in force will always be available on this page, with a version number and date.
In case of a material change, the Licensor will notify the Licensee by e-mail or by a notice inside the Platform with reasonable advance, and may condition continued use on acceptance of the new version. Continued use after the effective date implies agreement.
The price list and the composition of the plans may change. A change only reaches the Licensee from the following cycle, upon at least 30 (thirty) days' notice, with the option to cancel without penalty before it takes effect. This is not the same as the annual adjustment in clause 8.
22. Assignment
The Licensee may not assign or transfer these Terms, in whole or in part, without the Licensor's prior written consent.
The Licensor may assign these Terms, in whole or in part, to a company of the same economic group or in case of merger, spin-off, acquisition or sale of assets, keeping the contracted conditions and upon notice to the Licensee.
23. Communications and WiseData group marketing
Transactional communications — registration confirmation, billing notices, security alerts, contractual changes and operational notices — are necessary to the relationship, do not depend on consent and cannot be turned off while the account is active.
Marketing communications, including about other WiseData group products, depend on consent and may be cancelled at any time through the unsubscribe link in each message, with no effect on the contracted service.
The Licensor may use the registration data to reach out for satisfaction surveys and for customer service, which is part of performing the contract.
24. Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil.
The courts of the District of Goiânia, State of Goiás, Brazil, are elected to settle any disputes arising from this instrument, waiving any other, however privileged. Where the Licensee is an individual consumer, the courts of their domicile prevail, as provided by consumer legislation.
25. General provisions
Any tolerance regarding the breach of any clause constitutes neither novation nor waiver of rights.
If any provision is held invalid, the remaining ones stay in full force.
These Terms create no corporate, employment or agency relationship between the parties.
